Kovach Consulting Group, LLC

These Terms of Service govern your use of the services, digital products, and platform provided by Kovach Consulting Group, LLC ("KCG"), a New Hampshire limited liability company. By purchasing or enrolling in any KCG service or product, or by creating a platform account, you agree to these terms.
Services Provided
KCG provides coaching, advisory, and organizational development services. Services are delivered via video, phone, or in-person sessions as mutually agreed. Current engagement formats are: a 16-week 1:1 leadership engagement, a six-month group cohort (capped at eight participants), monthly retainer advisory, organizational development engagements, and speaking and facilitation. The scope, schedule, deliverables, and payment terms of each engagement are defined in an individual engagement agreement, which governs where it differs from these terms.
Digital Products
KCG sells self-paced digital products — individual courses, course bundles, and the All-Access Membership — delivered through the KCG platform at app.kovachconsultants.com.
One-time purchases. Purchasing an individual course or the full bundle grants a perpetual, personal, non-transferable license to the content for your own or your organization's internal development. What you buy stays yours. If a purchased product or the platform is discontinued, we will give at least 60 days' notice by email and provide the purchased materials in downloadable form; downloaded copies remain yours under this license. Team bundles are licensed as described in the next paragraph. The Digital Products terms in effect when you purchase govern that purchase, notwithstanding later changes to these terms.
Team purchases. Team bundles are licensed to a single organization, with seats assigned to named individuals. Seats are assigned, and reassigned when someone leaves the organization, by emailing support@kovachconsultants.com.
All-Access Membership. The membership bills in advance, monthly or annually depending on the plan you choose, and renews automatically until cancelled. Manage your plan or cancel at any time through the Stripe billing portal linked in your receipts and invoices, or by emailing support@kovachconsultants.com from the address on your account. Cancellation takes effect at the end of the paid billing period, month or year, and access continues until then. Membership covers the course library and resource library while it is active. We will give at least 30 days' email notice before any material change to membership pricing or terms takes effect.
Platform Accounts
The KCG platform (app.kovachconsultants.com) hosts courses, client tools, and community spaces. Platform accounts are for adults 18 and over. Provide accurate information when you register. Keep your credentials secure; you are responsible for activity under your account.
Community content. You own what you post. By posting in community spaces you grant KCG a license to display that content within the platform. Do not post content that is unlawful, harassing, or that discloses another participant's confidential information. KCG may remove content or suspend accounts that violate these rules.
Availability. The platform is provided as-is. We work to keep it available but do not warrant uninterrupted access. If your account is terminated for a violation of these terms, platform access ends; for one-time purchased products we will provide a reasonable way to retain your purchased materials, except in cases of fraud or payment reversal.
What Our Services Are Not
KCG services are not therapy, crisis support, legal advice, medical advice, financial advice, or a substitute for any licensed professional service. If you require support in any of these areas, you are responsible for seeking appropriate professional help.
Client Responsibilities
By engaging KCG, you agree to attend and prepare for all scheduled sessions, implement agreed-upon actions discussed during coaching, provide accurate and honest information about your organizational context, and take full responsibility for your decisions, actions, and outcomes.
Coaching effectiveness depends on your implementation of agreed changes. KCG provides insight, perspective, and possible next steps. You are solely responsible for decisions made and results achieved.
Scheduling and Attendance
Schedule changes require at least 48 hours' advance notice. Missed sessions without adequate notice are forfeited and not eligible for rescheduling or refund. For group cohort participants, sessions are held at scheduled times and attendance at all sessions is expected.
Confidentiality
KCG maintains confidentiality of your information, personal circumstances, and organizational details, except where disclosure is legally required. You agree not to reproduce or resell KCG's methodology and course materials (see Intellectual Property below). Cohort participants and platform members also agree to respect the confidentiality of information other participants share in sessions or in the platform's community spaces.
Payment Terms
Digital products are paid at purchase through Stripe. Invoiced engagements are net-30 unless your engagement agreement says otherwise; we accept ACH, wire, and credit card. All scheduled payments are due regardless of session attendance. If a payment is more than 5 days past its due date, services may be paused. If it remains unpaid 10 days past its due date, KCG may terminate the engagement with no refund for remaining services.
Payment disputes. If you believe a charge is wrong, contact us before disputing it with your card issuer. Most issues resolve in one email. A payment reversed through a chargeback may result in suspended access to the related product or service while it is resolved.
Refunds and Cancellation
Engagements may be cancelled for a full refund within 48 hours of signing. Every fixed-term engagement — the 16-week 1:1 engagement, the six-month cohort, and organizational engagements — includes a mid-point review; scope not yet delivered at a restructure or ending there is refunded pro rata. Outside those two mechanisms, engagements are non-refundable once sessions begin. One-time digital purchases carry a 14-day refund window. Founding Clients
Founding cohort members receive the pricing stated in their founding client agreement: 20–30% below listed engagement ranges, locked in for engagements contracted within the first 12 months, with preferential pricing and priority scheduling continuing for later engagements as described on the Founding Clients page.
Privacy
Personal information collected in connection with our services is handled as described in our Privacy Policy, which also covers the site's cookies and the choices you have about them.
Intellectual Property
KCG materials. KCG's methodology, frameworks, course content, worksheets, and assessments are the intellectual property of Kovach Consulting Group, LLC, licensed to you for your own or your organization's internal development. You may not reproduce, distribute, or resell them without written permission.
Your deliverables. Deliverables built for you in an engagement — structural maps, role definitions, decision-rights matrices, accountability frameworks, and similar documents — are yours to keep and use within your organization under a perpetual, irrevocable license. You keep everything we built for you.
Speaking Engagements
Keynotes, workshops, and facilitation are governed by a per-event agreement where one exists. Where none does, these defaults apply. If the organizer cancels 8–30 days before the event, the organizer owes half the agreed fee. At 7 days or fewer, the full fee. A rescheduled event applies the full fee as credit for up to 12 months. The organizer reimburses KCG's documented, non-recoverable travel costs on cancellation.
Force Majeure
If illness, disaster, or events beyond either party's reasonable control prevent performance, we reschedule first. Where rescheduling is not workable, fees for work not yet delivered are refunded. Neither party is liable for delay caused by events outside their reasonable control.
Limitation of Liability
KCG does not guarantee specific results or outcomes from any engagement or product. KCG's total liability for any claim is limited to the amounts you paid KCG for the product or service giving rise to the claim. KCG is not liable for indirect, consequential, or incidental damages. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
Termination
KCG reserves the right to terminate any engagement immediately and without refund if a client provides false or misleading information, engages in conduct that is disruptive to group sessions or community spaces, or violates these terms. The client may request cancellation per the terms outlined in the Refund and Cancellation Policy. The effect of account termination on purchased digital products is described under Platform Accounts.
Governing Law
These terms are governed by the laws of the State of New Hampshire, and disputes will be resolved in the courts of New Hampshire. If you are a consumer in a jurisdiction whose law gives you the right to bring proceedings in your local courts or the protection of mandatory local consumer law, nothing in this section takes that away.
Changes to These Terms
KCG may update these terms at any time. Changes take effect when posted. Continued use of services after changes are posted constitutes acceptance. Active engagements are governed by the terms in effect at the time of signing, one-time digital purchases by the license terms in effect at purchase, and material changes to an active subscription take effect only after 30 days' email notice.
